Terms of Service

These Terms of Service ("Terms") govern your use of Social (the "Service", at social.intigr8.com), operated by Intigr8 Inc. ("Intigr8", "we", "us"), Brandon, Florida, USA. By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a business, you agree on its behalf and confirm you have authority to do so.

1. The Service

The Service lets you create, adapt, schedule, approve and publish social media content to accounts you connect, and view how that content performs. Some features use AI. The Service is under active development and is currently available by invitation; features may be added, changed or removed.

2. Your account

• Provide accurate information, keep your password and API tokens confidential, and tell us promptly about any unauthorized use.
• You are responsible for activity under your account and in workspaces you administer, including actions by users you invite.
• If your workspace is managed by an agency (for example, Intigr8 managing social media for a client), you authorize that agency's staff to access the workspace and act on your instructions.

3. Connected social accounts

• You may only connect accounts, Pages and profiles that you own or are authorized to manage.
• By connecting an account, you authorize the Service to access it with the permissions you approve and to publish and retrieve data on your behalf, as described in the Privacy Policy.
• You must follow the rules of each platform you connect, including Meta's Terms of Service and Community Standards, Instagram's Terms of Use, the LinkedIn User Agreement and Professional Community Policies, the X Terms of Service and X Rules, and the TikTok Terms of Service and Community Guidelines.
• The Service is not affiliated with, endorsed by or sponsored by Meta, LinkedIn, X, TikTok or any other platform. Platforms can change or restrict their APIs, permissions or rate limits at any time, which may limit or interrupt features of the Service.

4. Your content

You keep ownership of the content you create, upload or publish through the Service. You grant Intigr8 a limited, non-exclusive license to host, store, process, adapt (including with AI, at your request) and transmit that content to the platforms you choose, solely to provide the Service. You are responsible for your content and confirm you have the rights needed to publish it, including rights to any images, video, music, trademarks or personal information it contains.

5. AI features

AI-generated text and images can be inaccurate, incomplete or similar to existing works. Review AI output before you publish it; you are responsible for anything you schedule, approve or publish. The Service does not publish content you have not scheduled or approved.

6. Acceptable use

You agree not to use the Service to:

• post spam, or use automation in ways a platform prohibits (for example, duplicate posting across accounts to manipulate reach, or fake engagement);
• publish content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative, or deceptive;
• collect data about other people, or scrape or harvest data from any platform;
• access accounts you are not authorized to manage, or interfere with, probe or reverse-engineer the Service; or
• resell or sublicense the Service without our written permission.

7. Fees

Access during the current invitation period may be free or offered at promotional pricing. If you subscribe to a paid plan, the price, billing terms and cancellation terms will be presented to you before you are charged.

8. Availability and publishing

We work to publish scheduled content on time, but publishing depends on third-party platforms, network conditions and valid account connections. We are not responsible for posts that are delayed, fail or are removed because of platform outages, API changes, expired or revoked connections, or platform moderation decisions. The Service will show you when a post fails so you can act on it.

9. Suspension and termination

You can stop using the Service, disconnect accounts, or ask us to delete your account at any time. We may suspend or terminate access if you breach these Terms, if required by law or by a platform, or to protect the Service or other users. Where reasonable, we will give notice first.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent allowed by law, Intigr8 disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and does not guarantee any particular reach, engagement or business result.

11. Limitation of liability

To the fullest extent allowed by law, Intigr8 will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Intigr8's total liability for any claim relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or US $100.

12. Indemnity

You agree to indemnify and hold Intigr8 harmless from claims, damages and costs (including reasonable attorneys' fees) arising from your content, your use of the Service, or your breach of these Terms or of a platform's terms.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Hillsborough County, Florida, and you consent to their jurisdiction.

14. Changes

We may update these Terms. If we make material changes, we will notify account holders by email or in the Service before they take effect. Continuing to use the Service after that means you accept the updated Terms.
